A simple example relates to the structure of the Corporation. C Corporations face double taxation if they are sold in an Asset sale. 95% of all buyers want to purchase a business as an Asset sale rather than a Stock sale because with an asset purchase, they can control the liabilities assumed. However if a C Corporation sells its assets, the value of those assets comes into the Corporation and is taxed at the corporate level and then what is left is taxed again at the personal level when it is distributed to the shareholders.
It is a very straight forward process for a C Corporation to elect to change to an S Corporation. An S Corporation does not pay Federal taxes, as all profits flow through to the shareholders. But under current law it can take up to ten (10) years after the switch to an S Corp for the double taxation to completely go away. Owners of private business as C Corporations should seek the counsel of their professional advisers now and gain an understanding of the pros and cons of changing their corporate status.
